General terms and conditions

1. Scope
(1) These terms apply to all contracts between Ascensus GmbH (the “Provider”) and the customer for use of the “MICE Cloud” SaaS platform (the “Service”).
(2) The Service is intended exclusively for businesses within the meaning of section 14 of the German Civil Code (BGB), on a B2B basis. Consumers within the meaning of section 13 BGB are excluded from use.
(3) Different terms supplied by the customer are not accepted unless the Provider expressly agrees to them in writing.
2. Subject of the contract
(1) The Provider supplies the web-based MICE Cloud software for managing events, bookings, rooms, catering and related documents as Software as a Service (SaaS).
(2) The scope depends on the plan selected by the customer: Starter, Professional or Enterprise. The current service description is available on the pricing page.
(3) The Provider supplies the version current at the time the contract is concluded. The Service is continuously developed and its scope may be extended at any time.
3. Contract formation and trial
(1) Registration on the platform constitutes the customer’s offer to enter into a usage agreement. The contract is concluded when the account is activated.
(2) Each new customer receives a free 14-day trial with up to 3 rooms, 2 users and 10 bookings per month. The customer may try the Service without commitment during the trial. The account is deactivated after the trial unless a paid plan has been selected.
4. Prices and payment
(1) Prices depend on the selected plan. All prices are net prices plus statutory VAT (currently 19%).
(2) Billing is monthly in advance. Payments are made by credit card or SEPA direct debit through Stripe.
(3) If payment is overdue, the Provider may suspend access. Stored data is retained for 30 days after suspension.
5. Term and termination
(1) The contract runs for an indefinite period and either party may terminate it with 30 days’ notice to the end of the respective monthly billing period.
(2) Customers may terminate directly through the Stripe customer portal in the dashboard or by email to info@mice-cloud.de.
(3) The right to terminate for good cause remains unaffected.
(4) Following termination, customer data is deleted within 30 days unless statutory retention obligations apply. The customer may carry out a GDPR data export before deletion.
6. Availability
(1) The Provider aims for average annual availability of 99.5%, excluding scheduled maintenance announced in advance.
(2) The Provider is not liable for outages resulting from force majeure, internet disruptions or circumstances outside its control.
7. Privacy and data security
(1) The Provider processes personal data in accordance with the privacy notice and the GDPR.
(2) Where the customer uses the Service to process third-party personal data, such as guests’ booking data, a data processing agreement under Article 28 GDPR will be concluded.
(3) The application and database are hosted with Hetzner in Germany. HTTPS protects transmission; selected credentials and secrets are encrypted with AES-256-GCM. The privacy notice provides details of external providers and optional functions.
8. Rights of use
(1) The Provider grants the customer a non-exclusive, non-transferable right to use the Service for the duration of the contract.
(2) The customer may not sublicense the Service to third parties, decompile it or extract its source code.
9. Liability
(1) The Provider’s liability is unlimited in cases of intent or gross negligence and for injury to life, body or health.
(2) In cases of slight negligence, the Provider is liable only for breaches of essential contractual obligations. Liability in such cases is limited to foreseeable loss typical of the contract.
(3) Liability for data loss is limited to the typical restoration effort that would have been required if regular backups had been made.
10. Changes to the terms
(1) The Provider may amend these terms with 30 days’ notice. Customers will be informed by email.
(2) If the customer does not object within 30 days of receiving the notice, the amended terms are deemed accepted.
11. Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The Provider’s registered office is the place of jurisdiction for disputes if the customer is a merchant, a legal entity under public law or a special fund under public law.
(3) If an individual provision is invalid, the remaining provisions remain effective.
